De parallel debt in Curacao

Sinds 1 januari 2012 bepaalt het nieuwe lid 3 van art. 231 van Boek 3 van het Curaçaose Burgerlijk Wetboek dat een vordering waarvoor pand of hypotheek wordt gegeven, kan toekomen aan een ander dan de pand- of hypotheekhouder. In dit artikel gaat schrijfster in op de vraag of, na de invoering van deze bepaling, een parallel debt-constructie achterwege kan blijven wanneer Curaçaose zekerheidsrechten aan een zekerheidsagent worden verstrekt die namens een syndicaat van banken als zekerheidsnemer optreedt.

Central Bank released Policy Memorandum Segregated Trust Company

On 1 January 2012 as far as Curaçao is concerned and 1 April 2014 as far as Sint Maarten is concerned, new legislation entered into force according to which it is possible to set up a trust (a Curaçao Trust or a Sint Maarten Trust) similar to the trust in Anglo-Saxon common law jurisdictions. Such a Trust can be used for different purposes, including a Segregated Trust Company (a.k.a. protected cell company).

De renteswap

Er waren tijden dat je als ondernemer een langlopende lening kon afsluiten tegen een (relatief) lage vaste rente. Maar de tijden zijn veranderd. Leningen worden voor kortere periodes afgesloten en hebben veelal een variabele rente. Dat de rente variabel is betekent dat die kan stijgen, waardoor voor de ondernemer de kosten van de lening ook toenemen. Het risico dat de rente stijgt, kun je afdekken door een renteswap te kopen. Maar daaraan zijn risico's verbonden.

Trust introduced in Sint Maarten

On April 1, 2014, new legislation entered into force pursuant to which it is now possible to set up a trust, similar to the trust in Anglo-Saxon common law jurisdictions, in St. Maarten (a civil law jurisdiction). Similar legislation entered into force in Curaçao on January 1, 2012.

When is a prospectus required?

The Netherlands, Curaçao, St. Maarten and the BES-islands compared. There is a much broader prospectus requirement in the BES than in the Netherlands and in Curaçao en St. Maarten. And this is obviously rather odd!

The Curaçao Trust becomes more and more popular

The Curaçao Trust can be used for many purposes, including as a top holding vehicle for international structures, as asset protection tool for previously privately owned assets, as a business or investment trust, in financing- and securitization transactions, as a security trustee and also to set up a protected cell company (or segregated portfolio company). The protected cell company is an interesting vehicle to be used for umbrella funds and captive insurance companies.

Electronic Money Institutions in Aruba

The European Central Bank defines e-money as follows (a non-legal definition): “E-money can be defined as any amount of monetary value represented by a claim issued on a prepaid basis, stored in an electronic medium (for example, a card or computer) and accepted as a means of payment by undertakings other than the issuer, predominantly for small-value transactions (for example, the settlement of modest transactions over the Internet and of parking or telephone charges and payment for public transport services).”

Financial supervision in the BES islands

New legislation entered into force in 2012. The Netherlands Antilles dissolved on October 10, 2010. Prior to that date, the Netherlands Antilles consisted of Curaçao, St. Maarten, Bonaire, St. Eustatius, and Saba, and formed, together with the Netherlands and Aruba, the Kingdom of the Netherlands.
